Terms and Conditions of Sale:

1.       Definitions:

a.       “Buyer” is defined as the entity (individual, business, or other entity) to which CRW CORP. is providing products or services.

b.       “Products” are defined as equipment, parts, materials, supplies, software, subscriptions or other goods provided to the Buyer.

c.       “Services” are defined as services or labor that CRW CORP. has agreed to perform for the Buyer.

d.       “Terms and Conditions” are defined as these “Terms and Conditions of Sale” along with any additional conditions specifically agreed upon by CRW CORP. in writing.

2.       Applicability:

a.       These terms and conditions shall apply to ALL parts and service transactions between the Buyer and CRW CORP. Transactions of whole goods are not subject to these terms and conditions. Contact your sales representative for details.

b.       CRW CORP. reserves the right to modify these terms and conditions at its sole discretion. Updated terms and conditions shall be made available to the Buyer at www.woodscrw.com, or upon request in writing to CRW CORP.

c.       The Buyer will not modify these terms and conditions in any way, whether verbally or in writing.

3.       Transfer of Ownership:

a.       Buyer assumes ownership of a product at the time of purchase. Time of purchase is when a product is picked up at a CRW CORP. location by the Buyer, or when a product is shipped via third-party carrier (both from a CRW CORP. or supplier location), at which time an invoice is generated.

4.       Delivery and Shipment Terms:

a.       Products that are considered “stocked” are those which CRW CORP. regularly carries in inventory. Products that are considered “non-stocked” are those which CRW CORP. does not regularly carry in inventory, regardless of current stocking status.

b.       Stocked products that are picked up in-store are generally not subject to shipping and handling fees unless specifically stated on an individual invoice due to specific circumstances as determined by CRW CORP.

c.       Stocked products that are shipped to the Buyer or a third-party address via common carrier (parcel, LTL or courier) from a CRW CORP. or supplier location shall be subject to applicable outbound shipping and handling fees calculated at the sole discretion of CRW CORP.

d.       Non-stocked products shall be subject to inbound shipping and handling fees calculated at the sole discretion of CRW CORP. in addition to any outbound shipping and handling fees incurred from shipping from CRW CORP. to the Buyer or third-party address.

e.       If the Buyer does not specify a shipping method, CRW CORP. will determine and ship via the most practical and cost-effective method available in the specific circumstances. The Buyer shall be responsible for any shipping and handling charges invoiced at the sole discretion of CRW CORP.

f.        If the Buyer requests a specific shipping method, CRW CORP. and its suppliers will make reasonable effort to accommodate the request but shall have the sole discretion to modify the shipping method based on the specific circumstances. The Buyer shall be responsible for any shipping and handling charges invoiced at the sole discretion of CRW CORP.

g.       Shipping and handing fees are subject to state and local sales tax unless a valid tax exempt form is provided by the Buyer to CRW CORP. as outlined in Section 8 of these terms and conditions.

5.       Cancellation of Purchase Order:

a.       The Buyer may only cancel a purchase order that has not been shipped with written consent and at the sole discretion of CRW CORP.

b.       All cancellations are subject to a restocking fee of 25%. The buyer may be invoiced for the product(s) ordered and credited, less the 25% restocking fee.

c.       Cancellation of custom, made-to-order, vintage or obsolete-sourced products will not be permitted. All sales of these products are final.

6.       Return of Products:

a.       Products that are considered stocked (as outlined in Section 2) are generally considered “returnable”, unless otherwise stated at the time of purchase or outlined in these terms and conditions. Exceptions include products with a limited shelf life, fasteners, filtration, electrical components and sealing products.

b.       Products that are considered non-stocked (as outlined in Section 2) are generally considered “non-returnable”, unless otherwise stated by CRW CORP. based on the original equipment manufacturers specific returnability code. CRW CORP. reserves the right to determine returnability of a product.

c.       Products that are considered returnable will be accepted for return within 30 days of the original purchase date, with a valid receipt. Parts must not be used or installed, and must be returned in the original, undamaged packaging. If a part is considered stocked, credit will be issued for 100% of the original purchase price. If a part is considered non-stocked but is determined by CRW CORP. to be returnable, credit will be issued less a 25% restocking fee and any applicable outbound shipping and handling costs incurred as a result of shipping the product back to the manufacturer. CRW CORP. will calculate at its sole discretion the cost of return shipping.

d.       Products that are considered non-returnable will not be accepted for return. An exception to this policy must be stated in writing from CRW CORP. and restocking fees will be determined on a case-by-case basis at the sole discretion of CRW CORP.

e.       Original shipping and handling costs are the sole responsibility of the Buyer, and shall not be credited regardless of returnability of a product.

f.        In the event of a defective, damaged or incorrect product provided to the Buyer, the Buyer must notify CRW CORP. of the discrepancy within 15 days of receipt of the product. Products with discrepancies reported within 15 days of receipt will not be subject to restocking fees, regardless of returnability.  If CRW CORP. is not notified of discrepancies within the 15 day period, CRW CORP. shall not be responsible for the discrepancy and the product will be considered non-returnable.

g.       Incorrect product is defined as an incorrectly labeled or packaged product, or a product missing a component. The term incorrect product does not refer to a part that is incorrectly identified to be a part needed by the Buyer, either by the Buyer or CRW CORP.

h.       Return of custom, made-to-order, vintage or obsolete-sourced products will not be permitted. All sales of these products are final.

7.       Pricing:

a.       CRW CORP. shall determine the sale price of all products at its sole discretion. CRW CORP. reserves the right to establish pricing of specific products based on order shipping method, purchase volume, and current acquisition cost, and to change pricing at any time.

b.       Quoted pricing shall be valid for 15 days from the date quoted, as indicated in writing on the quote.

8.       Taxes:

a.       All purchases are subject to applicable state and local taxes as required by law.

b.       Tax-exempt status is the responsibility of the Buyer to communicate to CRW CORP. at the time of sale. The Buyer must provide all applicable tax-exempt documentation as required by local and state law, and must fill out all required information in its entirety.

c.       CRW CORP. will be required to charge sales tax in all cases where applicable documentation is not provided by the Buyer or filled out correctly.

9.       Payment Terms:

a.       For customers not on credit terms with CRW CORP., payment is due at the time of purchase and/or order. Payment may be made by business check or credit card (Visa, Mastercard, American Express, Discover). Cash payments are generally not accepted and will only be accepted with prior notice and approval of CRW CORP. and must be for the exact amount of purchase.

b.       For customers with established credit terms with CRW CORP., payment terms are NET 30 days from the date of purchase unless otherwise stated, as dated on the invoice. Failure to pay an invoice within the specified terms will incur a late payment charge of 1.5% of the invoiced amount per month until paid.

c.       For customers with established credit terms, CRW CORP. reserves the right to request an upfront deposit of 50% for orders of high value or for special ordered products, at the discretion of CRW CORP.

10.   Disclaimer of Warranty

a.       Any and all warranties provided on a product are at the sole discretion of the manufacturer of the individual product. CRW CORP. does not provide the Buyer any additional warranty above and beyond the manufacturers warranty. All warranty terms and conditions must be obtained through the manufacturer of a product and will not be included within these terms and conditions.
